TAURON POLSKA ENERGIA SA: Closing of an annex to the settlement between Elektrociepłownia Stalowa Wola SA and Abener Energia SA

With reference to the present Report No. 52/2021 of December 31, 2021 on the conclusion reached by Elektrociepłownia Stalowa Wola SA (“ECSW”) with Abener Energia SA with its registered office at Campus Palmas Altas, Sevilla (“Abener Energia”) of a settlement outlining the rules for settlements Mutual Disputes arising out of any court and arbitration disputes between the parties resulting from the contract concluded on 26 June 2012 between Abner Energia (General Contractor) and ECSW (Requesting Party) for the construction of the CCGT Unit in Elektrociepłownia Stalowa Wola SA (“Settlement”), TAURON Polska Energia SA (the “Issor”) has learned that ECSW and Abener Energia have on 28 February 2022 signed an Annex to Settlement (the “Annex”).

According to the Annex, the deadline for the fulfillment of the obligations of Abener Energia, the non-performance of which will be a condition for the termination of the settlement, including the delivery of documents with an apostille confirming the consent of the undertakers (whose pledges pledges the receivables owed to Abener Energia by the arbitration court ruling) for the completion of the Annex until March 7, 2022 ( As of February 28, 2022).

Subject to the Appendix, Abener Energia is obligated to provide the unconditional and irrevocable consent of a judicial supervisory authority, a commissioner of a court, an official or other competent authority indicated by Tennis Court Spain is conducting bankruptcy proceedings against Abengoa SA, in order to finalize and implement this Annex by 4 March 2022. ECSW is obligated to submit a Supervisory Board resolution approving the conclusion of the Annex by 4 March 2022.

The issuer, indirectly through its subsidiary TAURON Wytwarzanie SA, owns 50 percent. Shares in the capital of ECSW.
